Terms of Service

1. Acceptance of Terms

By accessing or using the FreightBrokerLeads.ai website, web application, REST API, MCP server, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes.

2. Description of Services

FreightBrokerLeads.ai provides a subscription-based lead generation platform for freight brokers. Our Services include:

• Web Application — a browser-based platform for searching a curated database of manufacturers and shippers, saving searches, building watchlists, and exporting lead data.
• REST API — programmatic access to the same search and export capabilities, available on the Enterprise tier.
• MCP Server — a Model Context Protocol endpoint that lets Claude Desktop, Cursor, and other MCP-compatible AI tools query the platform on your behalf, available on every paid tier subject to per-tier result caps.
• Saved Searches and Alerts — the ability to save search criteria and receive email notifications when new matching leads are added to the database (Professional and Enterprise tiers).

3. Account Registration

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the accuracy of your registration information.
• Keeping your login credentials confidential and not sharing them with unauthorized individuals.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information, or that we reasonably believe have been compromised.

4. Subscription Plans & Billing

The Services are offered on a subscription basis. Subscription details, including features, export limits, and pricing, are described on our Pricing page.

• Free Trial: A one-time free trial is available without requiring a payment method. The trial includes a fixed lifetime export cap (not a recurring monthly cap) and limited search functionality.
• Billing Cycles: Paid subscriptions are billed monthly.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
• Pricing Changes: We may adjust pricing with at least thirty (30) days' prior written notice. Price changes take effect at the start of your next billing cycle following the notice period.
• Prorated Upgrades: If you upgrade your subscription tier mid-cycle, you will be charged a prorated amount for the remainder of the current billing period.
• Export Quotas: Each tier includes a monthly export quota. The quota resets at the start of each billing cycle. Unused exports do not roll over.

5. Payment Terms

All payments are processed through Authorize.Net. By providing a payment method, you authorize us to charge the applicable fees to that payment method. We do not store credit card numbers, CVVs, or full bank account numbers on our servers — your payment credentials are submitted directly to Authorize.Net via their hosted iframe.

• Payment Methods: We accept major credit cards and ACH bank transfers as supported by Authorize.Net.
• Failed Payments: If a payment fails, we will retry the charge on a defined schedule. After repeated failures and a grace period, your account will be downgraded to the free trial state until a valid payment method is provided.
• Backup Payment Methods: If you designate a backup payment method, we will automatically attempt to charge it if your primary method fails. By designating a backup, you authorize us to charge it without additional notice on a primary failure.
• Refund Policy: Monthly subscriptions are non-refundable for the current billing period. Cancellation takes effect at the end of the current monthly cycle, after which you will not be charged again.
• Taxes: Prices do not include applicable taxes. You are responsible for any taxes, duties, or government-imposed fees associated with your use of the Services.

6. Cancellation

You may cancel your subscription at any time from your billing page. There are no long-term contracts or cancellation fees.

• Effective Date: Cancellation takes effect at the end of the current billing period. You will continue to have access to the Services until that date.
• Account State After Cancellation: Cancelled accounts revert to free trial state. Your saved searches, watchlists, and account history are retained so you can reactivate without setup.
• Permanent Deletion: You may permanently delete your account and all associated personal data at any time from /Account/Manage/PersonalData.

7. Acceptable Use

You agree not to use the Services to:

• Engage in any activity that violates applicable local, state, national, or international law or regulation.
• Resell, rent, sublicense, or otherwise redistribute lead data obtained through the Services to third parties.
• Exceed the export quotas, search limits, API rate limits, or other usage restrictions associated with your subscription tier, or attempt to circumvent them.
• Use automated tools, scripts, scrapers, headless browsers, or other software to extract data from the Services in volumes or at rates not sanctioned by your tier. The platform employs honeypot records, request fingerprinting, and watermarked exports specifically to detect and attribute scraping activity.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying data structure of the Services.
• Share, transfer, or sublicense your account credentials or API keys to any third party, or use a single seat to provide access to multiple end users beyond your subscription's seat allowance.
• Interfere with, disrupt, or place an unreasonable burden on the Services or the networks and servers connected to the Services.
• Upload or transmit malicious code, viruses, or any other harmful technology.
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.

Violations of this section may result in immediate suspension or termination of your account without refund. Watermarked exports allow us to trace bulk redistribution back to the originating account.

8. API and MCP Usage

REST API access is available on the Enterprise tier. MCP server access is available on every paid tier subject to per-tier result caps enforced at the server.

• API Keys: You are solely responsible for keeping your API and MCP keys confidential. Any usage authenticated with your key is attributable to your account. You can revoke a key at any time from your account page.
• Rate Limits: Each key is subject to per-minute and per-key concurrency limits. Requests that exceed these limits receive HTTP 429 responses.
• Bulk Extraction: API and MCP access is intended for operational use cases (CRM integration, AI-assisted workflows, etc.), not for replicating the entire lead database. Volume patterns consistent with bulk extraction may trigger automatic rate-limit tightening or key revocation.

9. Intellectual Property

The Services — including all software, designs, documentation, trademarks, the lead database itself, and other intellectual property — are and remain the exclusive property of FreightBrokerLeads.ai. Nothing in these Terms grants you any ownership interest in the Services or the underlying database.

Lead data is licensed, not sold: When you export leads from the platform, you receive a license to use that data in your own brokerage operations. You do not acquire ownership of the data, nor the right to redistribute it. See the Acceptable Use section above.

Your account data: You retain ownership of information you enter into the Services (your profile information, your saved searches, your watchlists, your custom notes). We claim no ownership rights over that data and do not use it for any purpose beyond providing the Services to you. See our Privacy Policy for details.

10. Data & Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. Notably, we do not share, rent, or sell your personal information to anyone, and we do not store your raw payment credentials.

11. Service Availability

We use commercially reasonable efforts to maintain the availability of the Services. However, we do not guarantee uninterrupted or error-free operation.

• Planned Maintenance: We will provide reasonable advance notice for scheduled maintenance that may result in service downtime.
• Emergency Maintenance: In the event of critical security issues or infrastructure emergencies, maintenance may be performed without advance notice.
• SLA: No formal Service Level Agreement is provided unless explicitly executed for an Enterprise customer.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FREIGHTBROKERLEADS.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services.
• Any conduct or content of any third party on or related to the Services.
• Outages, errors, or interruptions of third-party services integrated with the platform.
• Unauthorized access to or alteration of your transmissions or data.
• Decisions made or actions taken based on lead data obtained through the Services. The lead database is provided as a research and prospecting tool; you are responsible for due diligence on any party you engage with based on the data.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless FreightBrokerLeads.ai, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any claim by a third party related to data you exported from the Services and subsequently used, shared, or redistributed.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' prior notice via email to the address associated with your account or through a prominent notice within the Services.

Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services before the effective date.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Indiana, and you consent to personal jurisdiction and venue in such courts.
